End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and A2D Sound, a brand of AYA Labs ("Licensor"), for the use of any audio plugin software, presets, sample content, documentation, and updates (collectively, the "Software") provided by A2D Sound.
By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
1. License grant
Subject to your payment of the applicable fee and compliance with this EULA, A2D Sound grants you a non-exclusive, non-transferable, revocable, worldwide license to install and use the Software for your personal or commercial music production work.
2. Permitted use
The license is granted to a single user (you).
You may activate the Software on up to three (3) computers that you own or primarily control (for example, a studio desktop, a laptop, and a backup machine).
You may use the Software to create, mix, master, perform, and distribute audio works without paying additional royalties to A2D Sound. Audio output you produce with the Software is yours.
3. Restrictions
You may not:
Share, lend, rent, lease, sublicense, sell, or otherwise transfer your license, license key, installers, or account credentials.
Activate the Software on more than three computers concurrently.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
Modify, adapt, translate, or create derivative works of the Software.
Remove or alter any copyright, trademark, or proprietary notices.
Distribute the Software's installers, presets, or sample content as standalone files, sample packs, or as part of any other product.
Use the Software to develop a competing product.
4. License transfer
Licenses are non-transferable. Resale of licenses is not permitted. A2D Sound is not obligated to honor licenses obtained from any third party.
5. Activations
Each license includes 3 activation slots. If you need to deactivate a machine (for example, before selling or replacing it), you can do so from the Members Area. If you exhaust your activations, contact support - we will reset them on a reasonable basis.
6. Updates
A2D Sound may, at its discretion, provide updates, bug fixes, or new versions of the Software. Updates are governed by this EULA unless accompanied by a separate license. We do not guarantee that any specific feature or update will be made available.
7. Ownership
The Software is licensed, not sold. A2D Sound and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.
8. Third-party content
Some Software components, presets, or audio content may include third-party material licensed to A2D Sound. Such material is provided under the same restrictions as the rest of the Software.
9. Termination
This EULA terminates automatically if you breach any of its terms. Upon termination, you must uninstall and destroy all copies of the Software. A2D Sound may also revoke licenses obtained through fraud, chargebacks, or abuse.
10. Disclaimer of warranties
The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. A2D Sound does not warrant that the Software will be error-free, uninterrupted, or compatible with all hardware, operating systems, or DAWs.
11. Limitation of liability
To the maximum extent permitted by law, A2D Sound shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or in connection with the Software. A2D Sound's total cumulative liability shall not exceed the amount you paid for the Software.
12. Export and sanctions
You may not use, export, or re-export the Software in violation of Israeli, U.S., EU, or any other applicable export control or sanctions laws.
13. Governing law
This EULA is governed by the laws of the State of Israel. Any dispute shall be resolved exclusively by the competent courts of Tel Aviv-Yafo, Israel.
14. Entire agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and A2D Sound regarding the Software.
